PRIVACY STATEMENT AND TERMS OF USE

Introduction

Kearney & Company, P.C. is a certified public accounting (“CPA”) firm that provides financial management services exclusively to the Federal Government. This Privacy Statement and Terms of Use (collectively, “Privacy Statement”) outlines our general policy and practices for protecting personal information that we may collect through our website at www.kearneyco.com and other websites (each, a “Site”) or downloadable applications access from mobile devices (“Mobile Apps”) that we operate and which post this Privacy Statement. This Privacy Statement explains the types of information we gather through our Sites, how we use that information, and the choices individuals may exercise regarding our use of, and their ability to correct, that information. Please read these disclosures and policies (“Terms”) carefully before using this Site. By using this Site you indicate that you acknowledge and accept these Terms, and by submitting personal information to us, you are consenting to use of your personal information in accordance with this Privacy Statement. California residents should read the Information for California Residents section below.

Notice, Choice, and Use

In order to use this Site, you do not need to send us any personal information. You may voluntarily provide us with personal information, such as your name and contact information, e.g., by submitting requests through our “Contact Us” mailbox. If you choose to apply for job openings through our Site, we may collect additional information such as name, address and other contact information, work and educational experience, licenses and certifications, and other personal information. We may automatically collect certain information, such as IP addresses or information about your interactions with the Sites, as described in the Cookies and Similar Technologies section below.

We do not seek sensitive personal information on our Sites except where we are required to do so as part of the recruitment process. Your decision to submit such information is entirely voluntary. We may use the personal information we collect to respond to your requests, send you administrative information or notices, send you information about our services, to support internal business purposes, and to protect the rights, safety, or property of us, you, or others.

If you apply for job openings through our Sites, we may use this information to process and evaluate your application for employment and to communicate with you about employment opportunities. We may also retain and use this information to identify and communicate with you about future potential employment opportunities with us. If we elect to make an offer of employment, this information may become part of the employee file and may be used for other employment and work-related purposes.

We retain personal information for only so long as necessary for the intended purpose, unless a longer retention period is required or permitted by law or our document retention policies.

Cookies and Similar Technologies

As is the case with many commercial websites, Kearney automatically logs certain information about user access to the Site, which may include a user’s internet protocol (“IP”) address, browser type, internet service provider, referring/exit pages, operating system, as well as date and time stamps. We also use “cookies” which are small data files stored on a user’s computer to enhance your on-line experience when visiting our Site. The use of “cookies” is common practice for most websites; however, most Web browsers include settings that allow users to decline cookies. The Site and Mobile App collect standard Internet log information including your IP address, browser type and language, access times and referring website addresses. To ensure that the Site and Mobile App are well managed and to facilitate improved navigation, we or our service provider(s) may use cookies or Web beacons (electronic images that allow the website to count users who have accessed a particular page and to access certain cookies) to collect aggregate data. Other third party tools and widgets may be used on our individual Sites or portions of the Sites to provide additional functionality. Use of these tools or widgets may place a cookie on your device to make their service easier to use, and to ensure your interaction is displayed properly. Depending on the specific Web page of the Site or Mobile App you are using, such information may consist of your name, current job title, company address, email address, telephone and fax numbers, correspondence with you, which newsletters you subscribe to, and other information you provide to us.

When using a Mobile App, in addition to contact information, we may also collect information relating to your devices, including your device model, operating system, browser type, unique device identifier, IP address, mobile phone number, mobile network carrier, location, and the way you are using the Mobile App. The information collected will depend on the functionality of the specific Mobile App you are using. If any other information is collected in connection with your use of a Mobile App, such information will be specified in the Mobile App.

We may also collect personal information if you register for the Site using a third party social network account (e.g., LinkedIn, Facebook, and Twitter). For example, the Site or a Mobile App may allow you to login using your social network account credentials. We may collect the user name associated with that social media account and any information or content you have permitted the social media network to share with us, such as your profile picture, email address, and birthday. The information we collect may depend on the privacy settings you have with the social network site, so please review the privacy statement or policy of the applicable social network site. When you access the Site through your social network account, you are authorizing us to collect and use your information in accordance with this Privacy Statement.

The Site may also collect content that you provide, including postings on blogs, forums, wikis and other social media applications and services that we may provide.

By accessing or using our Sites, you agree that we, or a third party acting on our behalf, can place these cookies on your computer or internet-enabled device.

Do Not Track Signals

Some Web browsers incorporate a “do-not-track” or similar feature that signals to websites with which the browser communicates that a visitor does not want to have his or her online activity tracked. As of the Effective Date of this policy, not all browsers offer a “do-not-track” option and “do-not-track” signals are not yet uniform. For this reason, Kearney does not currently respond to “do-not-track” signals.

Disclosures and Transfers

Kearney will not disclose an individual’s personal information to third parties, except as set forth in this Privacy Statement, when we have the individual’s permission to make the disclosure, or as necessary to fulfill the purpose for which the information was submitted. We also may use or disclose personal information as we believe to be necessary or appropriate (a) under applicable law (including to meet a national security or law enforcement requirement), (b) to comply with legal process or professional standards, (c) to protect our rights, privacy, safety or property and/or those of our affiliates or clients; or (d) in a merger, acquisition or asset sale.

Kearney may use third-party service providers to provide administrative or operational support to Kearney, or to provide engagement team resource services. Such entities may be located within or outside the United States. We require all such service providers to protect the information we entrust to them and to use such information only as necessary to provide services to us.

Additionally, Kearney may disclose and transfer personal information to service providers, within Kearney, or among its affiliates, and this transfer may result in data passing from one jurisdiction to another, including to and from the United States of America. Because privacy laws vary from one jurisdiction to another, personal information may be transferred to a jurisdiction where the laws may differ from the laws in the jurisdiction in which the information originated.

User Obligations

Materials on the Site. Unless otherwise indicated, the Site and the material on the Site, including but not limited to all text, HTML code, graphics, button images, and the Site design and “look and feel,” are owned or licensed by Kearney and are protected pursuant to U.S. and foreign copyright, trademark, and other laws. No intellectual property or other rights in or to this Site or its contents are transferred to you. This Site and the material on this Site may not be modified, copied, distributed, republished, downloaded, uploaded, or commercially exploited in any manner without our prior written consent, except that you are permitted to download a copy of any of the materials on this Site on a single computer for personal, noncommercial use, provided no copyright, trademark or other proprietary notices are removed. The information provided on the Site is provided solely for illustrative and/or informational purposes and does not create any business, contractual, or employment relationship. Any and all services marks or trademarks used on the Site are the registered and/or unregistered service marks or trademarks of Kearney or its licensors. The use of these or any other service marks or trademarks on the Site is prohibited without express written permission from us and/or the owner of any such service mark or trademark.

Third-Party Linking / Hyperlinks. We grant you limited and revocable permission to create a hyperlink to the home page of this website so long as (i) the hyperlink or your linking website does not portray us or any of our products or services in a false, misleading, derogatory, or otherwise offensive matter; (ii) your linking website complies with all applicable laws and does not otherwise violate the rights of others; and (iii) your linking website has, maintains, and follows a privacy policy no less protective of user data than the privacy policy of our website. We may revoke this permission at any time, with or without cause, and we reserve the right to demand removal of any hyperlink to our website. You agree that you will immediately remove a hyperlink to our website at our demand or upon your failure to meet the above referenced conditions. You may not use any of our logos or other proprietary graphics or marks as part of the hyperlink or linking website without our express written permission. Data Security

The security of your personal information is important to us. We seek to use reasonable physical (e.g. key card office entry, locking doors), technical (e.g. password protection, network firewalls, laptop encryption, authentication mechanisms), and administrative safeguards (e.g. confidentiality agreements, training, procedures that limit access to and use of data) to protect the information we process. However, no method of transferring data over the Internet or storing electronic data is completely secure. Therefore, while we strive to use reasonable and appropriate means to protect your personal information, we cannot guarantee absolute security.

Data Integrity

We process personal information only in ways compatible with the purpose for which it was collected, as subsequently authorized by the individual, or as otherwise permitted by applicable law. To the extent necessary for such purposes, we take reasonable steps to make sure that personal information is accurate, complete, current, and otherwise reliable with regard to its intended use.

Merger, Change in Ownership, and Other Business Transitions

In the event Kearney goes through a business transition, such as a merger, or the acquisition or sale of all or a portion of its assets, your personal information may be among the assets transferred.

Children

Kearney understands the importance of protecting children’s privacy in the interactive, online world. Kearney’s Sites are not designed for or directed at persons 13 years of age or younger, and we do not intentionally collect information from anyone under the age of 13.

Users Outside the United States of America

If you are a resident of a country within the European Union or are otherwise accessing our Site from outside the United States of America, by using this Site and providing us your personally identifiable information, you hereby explicitly acknowledge and agree to (i) the transfer of such information to the United States and (ii) the collection, use and disclosure of your personally identifiable information in accordance with this Privacy Statement.

Information for California Residents

This section applies specifically to California residents, providing additional information regarding our collection, use, and disclosure of your personal information.

We collect the following categories of personal information from users:

  • Identifiers, such as first and last name, telephone number, email address, and postal address;
  • Internet activity or other electronic network activity information, such as, device model, operating system, browser type, IP address, approximate location, and the way you are using the website ;
  • Approximate location information

We collect this information to provide you the services you requested. Additionally, we may use your personal information to:

  • To identify and authenticate you, such as when you log into your user account;
  • Respond to your inquiry, such as when you ask us a question, submit a request, or leave a comment;
  • Comply with applicable laws and regulations; and
  • Protect the rights, safety, or property of us, you, or others.

We retain personal information for only so long as necessary for the intended purpose, unless a longer retention period is required or permitted by law or our document retention policies.

We do not sell or share, as those terms are defined under California law, personal information, including sensitive personal information and personal information regarding individuals under the age of 16.

We collect personal information directly from you or your device and from our third-party service providers.

We disclose all of the information we collect for our business purposes, such as to:

  • Business partners and service providers that support our operations;
  • Law enforcement and other government agencies as required by law or in support of reasonable investigations as determined in our sole discretion;
  • Enter into or complete business transactions, such as a merger, acquisition, or other transfer of assets; and
  • Affiliates and subsidiaries, such as other Kearney & Company associated companies.

We do not knowingly collect information regarding individuals under the age of 16. And to the extent that we process any information deemed sensitive under the California Consumer Privacy Act, we do so only for those purposes expressly permitted under that law.

Privacy Rights. As a California resident, you may have the following rights, subject to certain stipulations and limitations, listed below in respects to your personal information we have collected.

  • Right to Know / Access. You have the right to request information about who is collecting your personal information, the categories collected and the sources it is collected from, how it is being used, and the categories of third parties to whom it is disclosed.
  • Right to Correct. You have the right to request that we correct Personal Information we maintain about you that may be inaccurate.
  • Right to Delete. You have the right to request that we delete Personal Information we maintain about you.
  • Right not to receive discriminatory treatment. You have the right to exercise any of these rights listed above without being penalized or discriminated against in any manner.

Before we respond to a rights request, we must verify the request. Verification involves you submitting your name, email address and date of birth. If we need any additional information, we will contact you to submit this information.

Upon written proof provided by you so that we may verify the validity of the request, at your discretion, you have the ability to designate an authorized agent to exercise any of the rights listed above by following the same methods as you would. Please note that we may require additional information from you in order to honor your request, and we may decline your request as permitted under applicable law.

Acceptance of this Privacy Statement

By using this Site and/or voluntarily providing any personal information to us, you consent to the Terms of this Privacy Statement and to the collection, use and disclosure of your personal information as set forth herein. If you do not agree to the terms of this Privacy Statement, please do not provide us with any information and do not use this Site.

Limitation of Liability

Neither Kearney nor any of its affiliates shall be liable for any damages of any kind arising from or in connection with the use of the Site or related materials, including mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses or delays in operation or transmission, even if Kearney is expressly advised of the possibility of such damages. This is a comprehensive limitation of liability that applies to all damages of any kind, including compensatory, direct, indirect, punitive, special, incidental or consequential damages, including but not limited to damages for lost profits, loss or inaccuracy of data or loss of revenue.

Indemnification

You agree to indemnify and hold Kearney harmless from and against any and all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses of any nature whatsoever (including without limitation reasonable attorneys’ fees, disbursements and court costs) arising from or in connection with (i) your use of the Site, to include any content contained, displayed or available therein; (ii) your violation of these Terms and this Privacy Statement; and/or (iii) your violation of any rights of any third party.

Choice of Law

This Privacy Statement shall be governed by the laws of the Commonwealth of Virginia without regard to its conflicts of law rules.

Denial of Access, Modification, or Discontinuance of the Site

Kearney may prohibit you from using or accessing the Site, in whole or in part, for any or no reason, at any time, in its sole discretion, without notice to you. At any time, without notice to you, and for any or no reason, Kearney may modify or discontinue the Site or any content thereof. Kearney shall in no way be held liable for any consequence which results from our decision to modify or discontinue providing the site or any content thereof.

Privacy Statement Changes

Kearney reserves the right to amend or modify this Privacy Statement from time to time. We will post any revised Privacy Statement on this Site, or a similar website that replaces this Site.

Miscellaneous

Assignment. You may not assign or otherwise transfer the Terms of this Privacy Statement or any rights or obligations hereunder. Kearney may assign these rights at any time, with or without notice to you. Kearney’s failure to act on any breach of any provision hereof shall not be construed as a waiver of the enforcement of any provision unless we agree to such waiver in writing.

Severability. If any portion of this Privacy Statement is deemed unlawful, void or unenforceable, that portion will be deemed severable and will not affect the validity or enforceability of the remaining provisions. This Privacy Statement sets forth the entire understanding between you and Kearney with respect to the subject matter hereof and supersedes any prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and Kearney with respect to such subject matter.
